These Terms of Use govern your access to and use of the Zenda platform, the Alba Earth Vault, the website, wearable integrations, and all related services operated by Alba Earth Pte.Ltd., a company incorporated in Singapore under UEN 202545479G, with its registered office in Singapore.
You represent that you are not subject to any sanctions, export restrictions, trade controls, or other legal prohibitions that would prevent you from lawfully accessing or using the Services under the laws of Singapore or any other applicable jurisdiction. You further represent that you are not located in, organised under the laws of, or ordinarily resident in any jurisdiction where access to the Services would be unlawful.
By accessing, browsing, registering for, creating an account on, joining a waitlist for, or otherwise using the Services, you confirm that you have read and understood these Terms and agree to be legally bound by them. If you do not agree, you must not access or use the Services.
By accessing or using the Services, you represent and warrant that you are at least eighteen (18) years old, that you have full legal capacity and authority to enter into and comply with these Terms, and that your access to and use of the Services complies with all applicable laws and regulations in your jurisdiction.
These Terms form a legally binding agreement between you and Alba Earth Pte. Ltd. By accessing or using the Services, you enter into this agreement electronically, and it has the same legal effect as a written agreement signed by both parties.
The Services are intended solely for individuals who are at least eighteen (18) years of age and who have the legal capacity to enter into binding agreements under applicable law.
If you access or use the Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. In such circumstances, references to “you” apply to both the individual user and the relevant legal entity.
Your use of the Services is also subject to the Privacy Policy and any additional terms that are expressly incorporated by reference. Where product-specific terms apply, those terms will prevail in the event of any inconsistency.
Nothing in these Terms limits or excludes any rights that cannot be lawfully limited or excluded under applicable law.
The Services are made available on a global basis. You are responsible for ensuring that your access to and use of the Services complies with all laws and regulations applicable to you. Alba Earth does not represent that the Services are suitable or permitted in all jurisdictions and may restrict or suspend access where required by law or regulatory obligation.

You are responsible for maintaining the confidentiality and security of your account credentials, authentication methods, and any access tokens associated with third-party integrations. You must not disclose your credentials to any unauthorised person. You must notify Alba Earth without undue delay if you become aware of any actual or suspectedunauthorised access, misuse, or security incident affecting your account.
You must provide information that is accurate, complete, and not misleading, and you must promptly update such information where necessary to ensure that it remains accurate. You are responsible for ensuring that any data you input, upload, or authorise for processing is lawfully obtained and may be processed in connection with your use of the Services.
Zenda is an AI-enabled digital platform designed to assist users in managing personal energy, focus, productivity, and workload patterns through the analysis of data that users choose to authorise.
As a condition of accessing or using the Services, you agree to comply with the obligations set out in this section.
The Services provide access to the Zenda platform, the Alba Earth Vault, related website functionality, and integrations with selected third-party services and wearable devices where expressly authorised by the user. The Alba Earth Vault operates as a user-controlled data repository that enables individuals to store, manage, and selectively grant access to their personal data within the Services.
Where enabled by the user, the Services may process data obtained from connected devices and third-party platforms, including wearable technology providers and calendar services. Such processing is carried out for the purpose of generating contextual insights, reminders, productivity suggestions, and related outputs. All integrations are initiated by the user and operate within the scope of permissions granted by the user.
The Services are not intended for use in emergency situations. If you are experiencing a medical emergency or require urgent medical, psychological, or professional assistance, you should contact a qualified professional or emergency services immediately.
The Services rely on automated, algorithmic, and AI-assisted systems to analyse authorised data inputs. Outputs generated by the Services are informational and assistive in nature. They are intended to support user awareness and self-management. Users retain full discretion and control over whether to act on any suggestion or output.
You remain solely responsible for assessing the appropriateness of any output and for all decisions, actions, or omissions taken in reliance on the Services. Any reliance placed on AI-generated outputs is undertaken at your sole risk and discretion.
Alba Earth may modify, enhance, restrict, suspend, discontinue, or replace any aspect of the Services at its discretion, including features, integrations, or functionality, where reasonably necessary for operational, legal, security, regulatory, or commercial reasons. Unless expressly agreed in a separate written agreement, no feature, integration, or functionality is guaranteed to remain available for any specific period.
Alba Earth is not a licensed healthcare provider and is not a medical device manufacturer. The Services are not intended to diagnose, treat, prevent, cure, or monitor any medical condition. No representation is made that the Services qualify as a medical device or regulated health product under applicable law.
The Services are provided as a technology platform. They do not constitute medical, psychological, legal, financial, employment, or other regulated professional advice. Alba Earth is not a licensed healthcare provider and is not a medical device manufacturer. The Services are not designed to diagnose, treat, prevent, or cure any medical condition, and no professional-client relationship is created between Alba Earth and any user.
The Services are not designed or intended to produce decisions based solely on automated processing that have legal or similarly significant effects within the meaning of applicable data protection law. Any actions suggested by the Services require your independent review and affirmative decision. You retain full control over whether to act on any output.
Users remain solely responsible for their decisions, actions, and reliance on any outputs generated through the Services.
All outputs generated through the Services are provided for informational and assistive purposes only. They are intended to support personal awareness and decision-making. They do not constitute, and must not be relied upon as, medical advice, mental health advice, psychological advice, legal advice, financial advice, employment advice, or any other form of regulated professional advice.
AI-generated outputs are probabilistic in nature and are produced through automated processing of user-authorised data and contextual signals. Such outputs may be incomplete, inaccurate, or subject to error. Alba Earth does not represent or warrant that any output will be accurate, complete, reliable, or suitable for any particular purpose.
The Services incorporate automated, algorithmic, and AI-assisted systems designed to analyse data that you choose to authorise and to generate contextual insights, recommendations, and productivity-related suggestions.

You must use the Services in compliance with all applicable laws, regulations, and binding contractual obligations. You must not use the Services in a manner that infringes the rights of any third party, results in unlawful processing of personal data, or exposes Alba Earth to regulatory or legal risk.
You must not misuse the Services or attempt to interfere with their operation. This includes copying, modifying, distributing, creating derivative works from, reverse engineering, decompiling, disassembling, attempting to extract source code, or circumventing technical or security measures, except to the extent such restrictions are prohibited by applicable law.
You are responsible for all activity conducted through your account unless such activity results directly from a security breach attributable to Alba Earth’s failure to implement reasonable technical and organisational measures in accordance with applicable law.
Failure to comply with these responsibilities may result in suspension or termination of access to the Services and may give rise to further legal or contractual remedies available to Alba Earth.
You must use the Services in a lawful and responsible manner. You must not use the Services for any fraudulent, harmful, misleading, or abusive purpose, or in any way that violates applicable laws, regulations, or the rights of others.
You must not attempt to gain unauthorised access to the Services, interfere with their operation, or bypass security measures. This includes introducing malicious code, probing for vulnerabilities, or attempting to extract underlying technology.
You must not use the Services to process personal data unlawfully, to generate unlawful or harmful content, or to resell or commercially exploit the Services without written authorisation.
Alba Earth may suspend or terminate access where it reasonably determines that these Terms have been breached or where continued access creates legal, security, or regulatory risk.
All intellectual property rights in and to the Services are and shall remain the exclusive property of Alba Earth Pte. Ltd. or its licensors. These rights cover the software, platform architecture, AI models and algorithms, system infrastructure, interfaces, documentation, branding, trademarks, and all related technology and materials forming part of the Services, as well as all copyrights, database rights, trade secrets, patents, design rights, and other proprietary rights, whether registered or unregistered.
Except for the limited licence expressly granted under these Terms, no rights are transferred to you, whether by implication, estoppel, or otherwise.
Subject to your compliance with these Terms, Alba Earth grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Services for your personal use or internal business purposes.
You may not copy, modify, distribute, reverse engineer, or otherwise exploit the Services beyond the limited licence granted under these Terms, except where such restriction is prohibited by applicable law.
No licence is granted for commercial resale, white-labelling, sublicensing, or provision of the Services to third parties without prior written authorisation.
You retain all rights, title, and interest in and to your personal data and any content, files, materials, or information that you upload, import, or store within the Services, including within the Alba Earth Vault.
Alba Earth does not claim ownership of your User Data. You grant Alba Earth a limited, non-exclusive, worldwide licence to process User Data solely for the purposes of providing and operating the Services, maintaining system integrity and security, complying with legal obligations, and improving the Services where permitted under the Privacy Policy and applicable law.
This licence continues only for as long as necessary to provide the Services or comply with legal requirements and terminates upon deletion of your account, subject to any lawful retention obligations.
Nothing in this section transfers ownership of User Data to Alba Earth.
AI-generated suggestions, summaries, insights, and recommendations are produced through automated and probabilistic systems.
As between you and Alba Earth, you may use Outputs for your personal or internal business purposes on a non-exclusive, worldwide, and perpetual basis. Alba Earth retains all intellectual property rights in the underlying models, algorithms, system architecture, and related technology used to generate such Outputs.
No assignment of rights in the underlying systems, model structures, training data, or proprietary methodologies is granted. Alba Earth does not assert ownership over the factual substance of Outputs that are derived directly from your User Data.
If you provide suggestions, comments, ideas, improvements, or other feedback relating to the Services, you grant Alba Earth a worldwide, perpetual, irrevocable, royalty-free licence to use, reproduce, modify, adapt, incorporate, and commercialise such feedback without restriction and without any obligation to compensate you.
During the early access phase, the Services are provided free of charge. Alba Earth reserves the right to introduce paid features, premium functionality, or subscription tiers at any time upon reasonable prior notice.
Access to certain features may be restricted, modified, or withdrawn as part of the transition from early access to paid plans, subject to applicable law.
Where paid subscriptions are introduced, the Services may be offered on a monthly or annual basis. Subscription fees will be payable in advance for the applicable billing period and will automatically renew at the end of each billing cycle unless cancelled prior to renewal.
The applicable pricing, billing frequency, and any taxes or additional charges will be clearly disclosed prior to completion of the purchase. By completing a subscription purchase, you agree to pay the fees specified at checkout.
Payments are processed through authorised third-party payment providers. By subscribing, you authorise Alba Earth and its designated payment processor to charge the applicable subscription fees using your selected payment method.
You are responsible for providing accurate and complete billing information and for maintaining valid payment credentials. If a payment cannot be processed, Alba Earth may suspend or terminate access to paid features until payment is successfully completed.
Unless otherwise required by applicable consumer protection law, annual subscriptions include a 14-day money-back guarantee from the date of initial purchase. Refund requests made within this period will be processed in accordance with the applicable refund policy.
Monthly subscriptions may be cancelled at any time. Cancellation will take effect at the end of the current billing period. Fees paid for a partially used billing period are not refundable. Nothing in this section limits any statutory withdrawal, cooling-off, or refund rights that apply under mandatory consumer protection legislation.
Alba Earth may modify subscription pricing upon reasonable prior notice. Any price changes will apply only to subsequent billing cycles and will not affect subscription periods that have already been paid.
Continued use of the Services after a pricing update becomes effective constitutes acceptance of the revised fees.
You are responsible for any applicable taxes, duties, or governmental charges associated with your subscription, except where Alba Earth is required by law to collect and remit such amounts. Where required, Alba Earth may charge applicable taxes at the rate in force at the time of billing.
Enterprise customers are subject to separate written agreements governing pricing, billing structures, service levels, data protection obligations, and termination rights. In the event of any inconsistency between these Terms and an executed enterprise agreement, the enterprise agreement shall prevail to the extent of the inconsistency.
Alba Earth may, at its discretion, introduce an optional Data Marketplace feature that allows users to participate in structured data-sharing programs.
Participation in any such feature will be strictly voluntary and based on explicit, informed, and granular opt-in consent. No user will be enrolled automatically. Users will be able to withdraw from participation at any time, and withdrawal will not affect access to core functionality of the Services unless otherwise clearly stated in supplemental terms.
Only data that has been anonymised and aggregated in accordance with applicable data protection laws will be eligible for inclusion in any marketplace activity. Alba Earth will implement appropriate technical and organisational safeguards designed to reduce the risk of re-identification. Identifiable personal data will not be sold, licensed, or disclosed through any marketplace mechanism without a separate lawful basis and clear prior disclosure.
If value-sharing mechanisms are introduced, the applicable structure, including any revenue share, credits, rewards, transaction fees, payment thresholds, or tax treatment, will be clearly described in supplemental terms made available prior to participation. Alba Earth may retain a disclosed platform or transaction fee where applicable.
Participation may be subject to additional eligibility criteria, jurisdictional limitations, or regulatory restrictions depending on applicable law. Users will be required to review and accept any supplemental marketplace terms before participating.
Alba Earth reserves the right to modify, suspend, or discontinue the Data Marketplace feature at any time, including for legal, regulatory, operational, or risk management reasons.
Nothing in this Section creates any obligation for Alba Earth to launch, maintain, or continue any Data Marketplace functionality.
The Services may interoperate with or integrate third-party platforms, applications, devices, APIs, and infrastructure providers, including wearable device providers, calendar services, hosting providers, payment processors, analytics tools, and other technology partners (together, “Third-Party Services”).
Any integration with a Third-Party Service is initiated solely at your direction and is subject to your explicit authorisation through applicable permission controls, API scopes, or OAuth mechanisms. Alba Earth accesses data from such services only within the scope of permissions granted by you.
Alba Earth does not own, operate, or control any Third-Party Service. The availability, functionality, security, performance, and continued compatibility of Third-Party Services are determined by the relevant third party. Third-Party Services may modify, suspend, restrict, or discontinue their services or APIs at any time. Alba Earth does not guarantee the continued availability of any integration.
Where data is retrieved from a Third-Party Service at your request, the relevant third party acts as an independent controller in relation to its own services, systems, and data processing practices. Your use of any Third-Party Service is governed exclusively by the terms, privacy policies, and contractual arrangements of that provider. You are responsible for reviewing and complying with those terms.
To the maximum extent permitted by applicable law, Alba Earth is not liable for any act or omission of a Third-Party Service, including any interruption, delay, data loss, corruption, security incident, or change in functionality arising from third-party systems or infrastructure.
Alba Earth may suspend, limit, or remove integrations where reasonably necessary for security, legal compliance, operational stability, or risk management purposes.
Nothing in this Section limits Alba Earth’s obligations under applicable data protection law in respect of personal data processing carried out directly by Alba Earth.
The Services are provided on an “as is” and “as available” basis.
To the fullest extent permitted by applicable law, Alba Earth does not make any representations or warranties, whether express, implied or statutory, regarding the Services. This includes any implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, non-infringement, accuracy, reliability, or availability.
Alba Earth does not warrant that the Services will meet your specific requirements, operate without interruption, be error-free, or remain continuously available. AI-generated outputs are probabilistic in nature and may contain inaccuracies. They are provided for general informational purposes only and should not be relied upon as professional advice or as a substitute for independent judgment.
Alba Earth does not guarantee compatibility with third-party devices, integrations, or services, and we are not responsible for any disruption caused by changes made by such third parties.
During early access or beta phases, the Services may contain defects, limitations, or evolving functionality. No service level commitments or uptime guarantees apply during such periods.
Nothing in these Terms excludes or limits any rights or remedies that cannot be excluded under applicable law, including mandatory consumer protection laws in Singapore or other jurisdictions where such laws apply. Where liability cannot be excluded but may be limited, it will be limited to the maximum extent permitted by law.
To the maximum extent permitted by applicable law, Alba Earth shall not be liable for any indirect, incidental, special, exemplary, punitive or consequential loss or damage arising out of or in connection with the use of the Services. This covers losses such as lost profits, lost revenue, loss of data, loss of business opportunity, loss of goodwill, business interruption, or losses arising from decisions made in reliance on AI-generated outputs.
The Services are designed to provide informational and productivity support only. You remain solely responsible for any decisions or actions taken based on outputs generated by the Services.
Subject to the paragraph below, Alba Earth’s total aggregate liability arising out of or in connection with the Services, whether in contract, tort (including negligence), breach of statutory duty or otherwise, shall not exceed:
(a) SGD 100 for users who have not paid for the Services; or
(b) the total amount paid by you to Alba Earth in the twelve (12) months preceding the event giving rise to the claim, where you are a paid subscriber.
Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded or limited under applicable law, including mandatory consumer protection legislation in Singapore.
Where applicable law permits limitation but not exclusion of liability, Alba Earth’s liability shall be limited to the fullest extent permitted by such law.
The limitations and exclusions of liability set out in this Section apply regardless of the form of action, whether in contract, tort (including negligence), strict liability, or otherwise, and shall apply even if Alba Earth has been advised of the possibility of such damages.
You may terminate your account at any time through the account settings or by contacting us. Termination will take effect once your account has been deactivated in our systems.
Alba Earth may suspend, restrict, or terminate your access to the Services, in whole or in part, where Alba Earth reasonably determines that you have breached these Terms, where your use of the Services creates a security risk, legal exposure, or risk of harm to other users, where you fail to pay any applicable fees when due, or where suspension or termination is required to comply with applicable law, regulatory obligations, or lawful requests from authorities.
Where reasonably practicable and appropriate, Alba Earth may provide notice of suspension or termination. In cases involving security, suspected unlawful activity, or legal risk, suspension may take effect immediately without prior notice.
Upon termination, your right to access and use the Services will cease. Provisions of these Terms that by their nature are intended to survive termination, including provisions relating to intellectual property, disclaimers, limitation of liability, and governing law, shall continue to apply.
Personal data will be handled in accordance with our Privacy Policy. Subject to applicable legal and regulatory requirements, account data will generally be deleted within 30 days following termination, unless retention is required for compliance, dispute resolution, enforcement of legal rights, or legitimate business purposes permitted by law.
These Terms and any dispute or claim arising out of or in connection with them, including any question regarding their existence, validity, or termination, shall be governed by and construed in accordance with the laws of Singapore.
Subject to any mandatory rights under applicable consumer protection laws, the courts of Singapore shall have exclusive jurisdiction, and you irrevocably submit to such jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or the use of the Services.
Nothing in this section limits Alba Earth’s right to seek interim, injunctive, or equitable relief in any competent jurisdiction where such relief is necessary to protect its intellectual property, confidential information, data, or other proprietary rights.
If any provision of this section is found to be invalid or unenforceable under applicable law, the remainder shall continue in full force and effect.
Alba Earth may amend or update these Terms from time to time to reflect changes in applicable law, regulatory guidance, business practices, or the functionality of the Services. Where changes are material, Alba Earth will provide reasonable notice through the Platform, by email, or by other appropriate means prior to the changes taking effect, unless immediate changes are required for legal or security reasons.
Unless otherwise stated, updated Terms will take effect on the date specified in the notice or, if no date is specified, upon publication on the Platform.
Your continued use of the Services after the effective date of the updated Terms constitutes acceptance of those changes. If you do not agree to the updated Terms, you must cease using the Services and may terminate your account at any time.
Nothing in this section limits any rights you may have under applicable mandatory consumer protection laws.
These Terms, together with the Privacy Policy and any additional terms expressly incorporated by reference, constitute the entire agreement between you and Alba Earth in relation to the Services and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written. Nothing in these Terms limits liability for fraudulent misrepresentation where such liability cannot be excluded under applicable law.
You may not assign, transfer, or otherwise dispose of any rights or obligations under these Terms without the prior written consent of Alba Earth. Alba Earth may assign or transfer its rights and obligations under these Terms to an affiliate or in connection with a merger, acquisition, restructuring, or sale of assets, provided that such transfer does not materially reduce your rights under these Terms.
If any provision of these Terms is held to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable. If modification is not possible, the provision shall be severed and the remaining provisions shall remain in full force and effect.
No failure or delay by Alba Earth in exercising any right or remedy under these Terms shall constitute a waiver of that right or remedy. Any waiver must be in writing and signed by an authorised representative of Alba Earth. A waiver of any breach shall not constitute a waiver of any subsequent breach.
Alba Earth shall not be liable for any failure or delay in performing its obligations under these Terms to the extent such failure or delay results from events beyond its reasonable control, including natural disasters, acts of government, regulatory actions, war, terrorism, civil unrest, labour disputes, failures of telecommunications networks, or interruptions in third-party infrastructure. Performance shall resume as soon as reasonably practicable following the cessation of the relevant event.
You agree to indemnify and hold harmless Alba Earth Pte. Ltd., its directors, officers, employees, affiliates and licensors from and against any third-party claims, liabilities, damages, losses, costs or expenses (including reasonable legal fees) arising out of or in connection with:
(i) your breach of these Terms;
(ii) your misuse of the Services;
(iii) any data or content you upload or authorise for processing;
(iv) your violation of applicable law; or
(v) your use of Third-Party Services in connection with the Services.
Alba Earth reserves the right, at its own cost, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you.
Certain features of the Services may be designated as early access, beta, pilot, or experimental functionality.
Such features may be incomplete, subject to change, contain errors, or be discontinued without notice. Early access features are provided for evaluation and feedback purposes and may not be subject to the same testing, stability standards, or performance expectations as generally available functionality.
Alba Earth does not provide service level commitments, uptime guarantees, or performance warranties in relation to early access or beta features.
You acknowledge that your use of early access functionality is at your own discretion and risk.
Alba Earth may modify, restrict, suspend, or discontinue any early access feature at any time for operational, legal, regulatory, or security reasons.
Alba Earth may provide notices relating to the Services or these Terms by email, through the Platform, or by posting updates on the website.
You are responsible for maintaining accurate and up-to-date contact information within your account. Notices sent to the email address associated with your account will be deemed received on the date of transmission.
Where applicable law requires a specific form of notice, Alba Earth will comply with such requirements.
You may provide legal notices to Alba Earth by contacting the registered office address listed in these Terms or by email to the designated contact address, unless otherwise specified.
